1. Acceptance of Terms
By accessing or using the MSP Genie portal (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.
2. Service Description
MSP Genie is an IT management portal that provides device monitoring, user directory synchronization, security posture assessment, endpoint management actions, and related administrative tools for small and mid-size businesses. The Service integrates with third-party platforms including Level.io, Huntress, Google Workspace, and Microsoft 365 to deliver its functionality.
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Ensuring that account access is limited to authorized individuals within your organization.
- Notifying us promptly if you suspect unauthorized access to your account.
We may suspend or terminate accounts that we reasonably believe are compromised.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to systems, accounts, or data that do not belong to your organization.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit malware, viruses, or other harmful code.
- Resell, sublicense, or redistribute access to the Service without our written consent.
- Use automated tools to scrape, crawl, or extract data from the Service beyond its intended API use.
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in that policy.
You retain ownership of the data you and your organization submit to the Service. We do not claim ownership of your data. We use your data only to operate and improve the Service as described in our Privacy Policy.
6. Third-Party Services
The Service integrates with third-party platforms (Level.io, Huntress, Google Workspace, Microsoft 365, and others). These integrations are subject to the respective third parties’ own terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. Disruptions to third-party services may affect the functionality of the Service.
7. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by MSP Genie and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features. You may not copy, modify, or create derivative works of the Service except as expressly permitted.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.
9. Limitation of Liability
To the maximum extent permitted by law, MSP Genie and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be error-free, or that security scans will detect all threats.
11. Indemnification
You agree to indemnify and hold harmless MSP Genie and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Either party may terminate use of the Service at any time. We may suspend or terminate your access immediately if you violate these Terms or if we reasonably believe your use poses a security risk. Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by our Privacy Policy.
13. Changes to These Terms
We may modify these Terms at any time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we will notify affected users via email or an in-portal notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
15. Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
